About these Terms

These Terms of Service reflect the way keyless's business works. They define the relationship between keyless and its users as they interact with the keyless software and services. Please read this document carefully — you must accept these Terms to use keyless's offerings.

Definitions

keyless

The entity providing the keyless software and services.

keyless software

The desktop and web software provided by keyless that lets users generate AI overlay graphics for video and export them as transparent ProRes 4444 files.

Service

The services offered by keyless that are associated with the keyless software, including the website at keyless.fit and any related properties.

User

Any natural or legal person that uses the keyless software and/or services.

The three subscription tiers offered by keyless, as described on the pricing page:

Content by keyless

Unless otherwise specified or clearly recognizable, all content available on keyless.fit and within the keyless software is owned or provided by keyless.

keyless makes its best effort to ensure that the content provided does not infringe applicable legal provisions or third-party rights. If you believe content infringes your rights, please contact legal@keyless.fit.

Access to external resources

Through keyless, users may have access to external resources provided by third parties (e.g., the Anthropic API for AI generations, Lemon Squeezy for payment processing). Users acknowledge that keyless has no control over such resources and is not responsible for their content and availability. Conditions applicable to those resources are governed by their respective terms.

Consideration before use

The keyless software and services may only be used within the scope of what they are provided for, under these Terms and applicable law. Users are solely responsible for ensuring their use does not violate any law, regulation, or third-party right.

keyless reserves the right to take any appropriate measure to protect its legitimate interests, including denying access, terminating contracts, and reporting misconduct to competent authorities, when users engage in:

Software license

keyless grants users a non-transferable, non-exclusive license to use the keyless software according to the tier they have subscribed to.

Allowed use

You may use the keyless software in a non-commercial or commercial way to generate AI overlay graphics for video and to export them for use in your own video projects.

Disallowed use

You may not copy or modify the keyless software for the purpose of selling, renting, licensing, or sublicensing your own derivative of the software.

You may not reverse-engineer, disassemble, decompile, or otherwise attempt to derive the source code of any part of the keyless software or services that is not provided in source-code form.

Unless expressly agreed, the license is non-assignable and non-transferable.

Ownership of generated content

keyless does not pose any restrictions on overlays generated with the keyless software. Users hold the rights, ownership, and responsibilities for the media assets they create.

BYOK and AI generations

The Plus tier requires users to provide their own Anthropic API key. Users are responsible for the costs of their API usage with Anthropic and for the security of their key. keyless does not store API keys server-side.

The Pro tier includes a monthly allowance of 100 AI generations performed against keyless's managed Anthropic access. Generations are counted per successful render. Unused generations do not roll over to the following month.

Telemetry

The keyless desktop app collects license-validation telemetry to enforce subscription tiers and provide users with usage insights. The data collected is limited to: IP address; license tier; number of generations performed; and whether a render was for production or development. No overlay content is collected. Warranty notice

The software is provided "as is" without warranty of any kind, expressed or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall keyless be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the use of the keyless software.

Support

keyless provides support on a best-effort basis. Users on the Enterprise tier receive priority support as part of their contract.

Security

If you discover a potential vulnerability in the keyless software, please report it privately to security@keyless.fit to help resolve it before public disclosure.

Payments

keyless uses Lemon Squeezy as its designated merchant of record and Stripe as its payment processor. All financial transactions are conducted in United States Dollars (USD).

The user will pay all applicable taxes, duties, and withholdings. When keyless has the legal obligation to collect such taxes, the appropriate amount shall be paid by the user directly to keyless.

Subscriptions automatically renew at the end of each billing cycle. Users can cancel at any time through their account page or by contacting support.

A user represents and warrants to keyless that all of their payment information is true and that they are authorized to use the payment method.

If a payment is not received or cannot be charged for any reason, keyless reserves the right to terminate the subscription and access to the service. keyless may use legal means to collect missing payments.

Refund policy

All fees are non-refundable, except as stated otherwise here. No refunds will be granted after a paid subscription begins.

Term and termination

These Terms become effective when a user first uses the keyless software or services and continue until terminated. Subscriptions automatically renew at the end of each billing cycle.

Users may terminate a subscription at any time through their account page. Termination is effective at the end of the current billing period.

keyless may terminate or suspend access to the software or services for any breach of these Terms upon 10 days' notice. Accounts that are inactive for an extended period may be terminated.

Common provisions

No waiver

keyless's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Service interruption

To ensure the best possible service level, keyless reserves the right to interrupt the service for maintenance, system updates, or any other changes.

Intellectual property

Without prejudice to any more specific provision of these Terms, any intellectual property rights related to keyless (copyrights, trademarks, trade names, service marks, patent rights, design rights, illustrations, images, and logos) are the exclusive property of keyless and protected by applicable intellectual property laws.

Changes to these Terms

keyless reserves the right to update or modify these Terms at any time. If keyless makes changes that materially impact these Terms or the user's rights, keyless will notify users in advance. Continued use of the software or services after such changes constitutes acceptance of the revised Terms.

Severability

Should any provision of these Terms be invalid or unenforceable, the invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

Applicable law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, USA. Any dispute, controversy, or claim arising out of these Terms that is not resolved through negotiation shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
